TERMS AND CONDITIONS
For the purpose of this Rental/Hire Agreement, 'PCCC’ shall mean Penguin Cold Caps Canada, its owners, officers, directors, shareholders, employees, agents, representatives, licensees, and cap fitters. 'Lessee' shall mean the 'User of the Equipment', its agents, representatives, and/or employees. If the payee is different from the Lessee, the payee is bound into this agreement to undertake the payment obligations of the Lessee. Hiring of the Equipment, herein 'the Rental Equipment' or 'Rental Equipment' or 'Equipment', as described in the order form or this Rental Agreement, is agreed as follows:
1.INDEMNITY/HOLD HARMLESS
The Lessee will take all necessary precautions regarding the Equipment rented and protect all persons and property from injury or damage. The Lessee agrees to hold harmless PCCC against any and all liability, claims, judgments, attorneys' fees, and costs of every kind and nature, including, but not limited to, injuries or death to persons and damage to property, arising out of the use, maintenance, instruction, operation, possession, ownership, or rental of the Equipment rented/hired, however caused, except claims or litigation arising through the sole negligence or willful misconduct of PCCC.
2.ASSUMPTION OF RISK/RELEASE-DISCHARGE OF LIABILITY
The Lessee/User acknowledges that before using Penguin Cold Caps, the Lessee/User of the Equipment must consult with their qualified medical doctor and Consultant to determine whether they can use the Equipment in its cooled state with their treatment or drug regimen. Even if the medical doctor approves the use of the Equipment, it is ultimately the Lessee's Consultant who will decide whether the Equipment should be used by the Lessee. If the Lessee has Raynaud's disease, is receiving the drug Oxaliplatin for their treatment, or has a spinal or neck injury, it is imperative that the Lessee communicates with their qualified medical doctor and Consultant.
The Lessee acknowledges that the use of cold caps is a personal choice and that PCCC does not guarantee any specific results, including the prevention of hair loss or any other desired outcome. PCCC shall not be liable for any adverse effects, side effects, or outcomes arising from the use of the Equipment, including reactions to dry ice or improper storage and handling of the Equipment. The Lessee assumes full responsibility for the results and effects of using the Equipment.
The Lessee agrees to release and discharge PCCC from any and all responsibility or liability from such injury or damage or side effects arising out of the use or operation of the Equipment, including the use of dry ice or a freezer with the operation of the Equipment. The Lessee agrees to waive, release, and discharge any and all claims for injury, side effects, or damage against PCCC, which the Lessee otherwise may be entitled to assert. The Lessee is fully aware and acknowledges that PCCC will use its best endeavors to ship the Equipment rented in a timely manner and fully accepts there is a risk that the Equipment might not arrive at the time requested and hereby elects to voluntarily enter into this rental agreement and assume this risk and discharge PCCC from any and all responsibility or liability. The Lessee agrees to waive, release, and discharge any and all claims for any costs incurred in the purchase, hire, or rental of any equipment, products, or services not purchased, hired, or rented directly from PCCC. The Lessee further agrees to waive, release, and discharge any and all claims or damage against PCCC which the Lessee otherwise may be entitled to assert.
3.RECEIPT/INSPECTION OF EQUIPMENT
The Lessee hires the Equipment on an 'as is' basis. The Lessee acknowledges that he/she has, or will, personally inspect the Equipment prior to its use and finds it suitable for the Lessee's needs. The Lessee is to contact PCCC if any of the Equipment is faulty or missing within 24 hours of the Equipment being delivered. The Lessee acknowledges receipt of all items listed in this Rental Agreement and that the Equipment is in good working order and repair, and that the Lessee understands (without further instructions) its proper operation and use.
4.TITLE OF EQUIPMENT
The Lessee's right to hire the Equipment begins upon the date the Equipment leaves PCCC's depot(s) (the 'Outward Hire Date') or the date the Equipment is handed/given to the Lessee or the Lessee's representative by a Company representative, employee, agent, or licensee (the 'Outward Hire Date'), or if the Equipment is picked up/collected/delivered by a shipping company (e.g., UPS), the tracking date will be used as the date the Equipment leaves the depot (the 'Outward Hire Date'). The Lessee's right to hire the Equipment terminates upon the date the Equipment is received back at PCCC's depot(s) (the 'Return Hire Date') or the date the Equipment is handed/given back to a Company representative, employee, licensee, or agent (the 'Return Hire Date'), or if the Equipment is returned by a shipping company (e.g., UPS), the tracking date will be used as the date the Equipment is returned to the depot, agent, licensee, or employee (the 'Return Hire Date'). The 'Outward Hire Date' and the 'Return Hire Date' will be considered a full 24-hour day regardless of the time of day the Equipment is hired or returned, and the days are inclusive when calculating the rental hire period. Title to the Equipment is and shall remain with PCCC. If the Equipment is not returned and/or levied upon for any reason whatsoever, PCCC may retake the Equipment without further notice or legal process. The Lessee hereby agrees to indemnify, defend, and hold PCCC harmless from any and all claims and costs arising from such retaking.
5.RENTAL PERIOD/RATE/PAYMENT
The rate of hire for the Rental Period is for a minimum of one month. If the Equipment is returned prior to the end of the minimum rental period, the rental due shall be for the entire minimum rental period. Rental rates for the Equipment are based upon a month at a time and are paid a month in advance. After the first month’s rental, all unused days are pro-rated. If the Equipment is returned before the end of the second (or subsequent) month, the remaining days' hire will be refunded. The rental hire charges begin immediately upon the Equipment leaving PCCC's depot, or the Equipment being handed/given to the Lessee or the Lessee's representative by a Company representative, employee, or agent. Rental charges end upon the return of the Equipment in acceptable condition to PCCC, or the Equipment being handed/given back to a Company representative, employee, or agent, or licensee. No allowance will be made for Saturdays, Sundays, holidays, or time in transit, nor for any period of time the Equipment is not in actual use while in the Lessee's possession. Hire/Rental of the Equipment begins upon the date the Equipment leaves the PCCC's depot (the 'Outward Hire Date') or the date the Equipment is handed/given to the Lessee or the Lessee's representative by a Company representative, employee, or agent (the 'Outward Hire Date'), or if the Equipment is picked up/collected/delivered by a shipping company (e.g., UPS). The tracking date will be used as the date the Equipment leaves the depot (the 'Outward Hire Date'). Hire/Rental of the Equipment terminates upon the date the Equipment is received back at the PCCC's depot(s) (the 'Return Hire Date') or the date the Equipment is handed/given back to a Company representative, employee, licensee, or agent (the 'Return Hire Date'), or if the Equipment is returned by a shipping company (e.g., UPS). The tracking date will be used as the date the Equipment is returned to the depot(s) (the 'Return Hire Date').
The Lessee acknowledges that he/she is responsible for paying the shipping of the Equipment from the depot to the Lessee's address. PCCC will supply the return shipping for the Equipment from the Lessee's dwelling to PCCC's depot or representative. The Lessee agrees that PCCC is not liable for any failed shipping charges, e.g., if delivery is attempted and the Lessee/Lessee's representative is not there/able to accept delivery of the rental Equipment and the Equipment is returned to us. The 'Outward Hire Date' and the 'Return Hire Date' will be considered a full 24-hour day regardless of the time of day the Equipment is hired or returned, and the days are inclusive when calculating the rental hire period.
The 'Outward Hire Date' as described above, is used as the first invoice date and the 'Return Hire Date' is used as the end of hire and closing invoice date. PCCC may terminate the hire of the Equipment at any time and retake the Equipment without further notice in case of violation by the Lessee of any terms or conditions of this Rental Agreement. The Lessee agrees to pay any collection costs and attorney fees incurred in the collection of this account or any dispute arising out of this Rental Agreement. The Lessee agrees that a company representative, agent, or licensee may contact them by telephone.
6.CONDUCT AND BEHAVIOR
The Lessee agrees to engage in professional and respectful communication with PCCC’s employees, agents, representatives, and other related parties. Inappropriate behavior, including but not limited to the use of offensive language, harassment, threats, or any other form of misconduct, will not be tolerated. PCCC reserves the right to terminate this Rental Agreement and any associated services immediately if the Lessee or their representatives engage in such behavior. In the event of such termination, the Lessee will remain responsible for all outstanding rental fees and any costs associated with the return of the Equipment.
7.ORDINARY WEAR AND TEAR
The Lessee shall be responsible for all damage not caused by ordinary wear and tear. 'Ordinary wear and tear' shall mean only the normal deterioration of the Equipment caused by ordinary, reasonable, and proper use of the Equipment. Damage that is not 'ordinary wear and tear' includes, but is not limited to, damage due improper use, misuse, abuse, lack of cleaning, and dirtying of Equipment by any other material. A cleaning charge will be made on the Equipment if returned unclean.
8.COMPLIANCE WITH LAWS/USE OF EQUIPMENT
The Lessee agrees not to use or allow anyone to use the Equipment for any illegal purpose or in any illegal manner or in an unsafe manner. The Lessee agrees if dry ice is used with the Equipment that the safety instructions and any other instructions the dry ice supplier advises or issues to the Lessee are adhered to, including safety equipment and gloves. The Lessee acknowledges that PCCC has no responsibility to inspect the Equipment while it is in Lessee's possession or rental period.
9.RETURN OF EQUIPMENT
The Lessee agrees to return to PCCC the Equipment in as good condition as when received, ordinary wear and tear excepted by the Rental Agreement. The Lessee shall be liable for all damages to or loss of the Equipment and liability incurred prior to the Equipment's return to PCCC. Charges will be applied if all the Equipment rented, including any damaged Equipment (if applicable) is not returned to PCCC. For clarification, the rental/hire charges/fees will continue until the Equipment is returned to PCCC and the Lessee will be liable for these charges/fees.
10.DISCLAIMER OF WARRANTIES
PCCC makes no warranty of merchantability or fitness for any particular use or purpose, either express or implied. There is no warranty or representation that the Equipment is fit for Lessee's particular intended use, or that it is free of latent defects. PCCC shall not be responsible to the Lessee or any third party for any loss, damage, or injury resulting from, or in any way attributable to the operation of, use of, or any failure of the Equipment. PCCC shall not be responsible for any defect or failure unknown to PCCC. The Lessee's sole remedy for any failure of or defect in the Equipment shall be the termination of the rental charges at the time of failure provided that the Lessee notifies PCCC immediately of such failure.
11.SUBLETTING/LOCATION OF EQUIPMENT
The Lessee agrees not to sell, sublet, loan, or assign the Equipment. If the Lessee violates this agreement, PCCC reserves the right to repossess the Equipment at the Lessee's expense and/or enlist a collection agency to recover any lost revenue resulting from the violation.
12.DEFAULT
Should the Lessee in any way fail to observe or comply with any provision of this Rental/Hire Agreement, PCCC may at its sole option, terminate this Rental/Hire Agreement, retake the Equipment, declare any charges due and payable, initiate legal process to recover monies owed, enlist a collection agency if necessary, and/or pursue any other legal rights and remedies available to PCCC. Exercise of any remedy available to PCCC shall not constitute an election of remedies or a waiver of any additional remedies to which PCCC may be entitled. PCCC has the right to give notice by email or letter, whereby PCCC will give fourteen days for the monies owed to be paid. Failure to pay outstanding monies after this period will result in PCCC initiating legal processes to recover monies owed, enlist a collection agency if necessary, and/or pursue any other legal rights and remedies available to PCCC.
13.RETAKING OF EQUIPMENT
If for any reason it becomes necessary for PCCC to retake the Equipment, the Lessee authorizes PCCC to retake the Equipment without further notice or further legal process.
14.LEGAL FEES
In the event an attorney is retained to enforce any provision of this Rental/Hire Agreement, the prevailing party in the dispute shall be entitled to recover reasonable attorney's fees and court costs in such action, or proceeding, in an amount to be determined by the court.
15.NOTICE OF NON-WAIVER/SEVERABILITY
Any failure of PCCC to insist upon strict performance by the Lessee as regards any provision of this Rental/Hire Agreement shall not be interpreted as a waiver of PCCC's right to demand strict compliance with all other provisions of this Rental/Hire Agreement against the Lessee or any other person. The provisions of this Rental/Hire Agreement shall be severable so that in the event any provision of this agreement is invalid or not enforceable, it shall not affect any other provision or clause.
16.MISCELLANEOUS
The Lessee is fully aware and acknowledges:
a. That the Equipment means all Equipment rented inclusive of Cold Caps, Gel Headbands, Velcro Straps, Thermometers (2), Wheeled Cooler (if applicable);
b. That the Penguin Cold Caps and the Gel Headbands of the Equipment are stored in a freezer or in a cool room, white side to white side and blue side to blue side, and/or dried and then placed inside the provided bags;
c. That the order form could not be processed without the order form being completed and the Terms & Conditions, Disclaimer & Policies being read, understood and agreed to by ticking the box on the web site page; the Lessee also acknowledges and agrees that payment cannot be processed to begin the rental if the Terms & Conditions box on the website page is not agreed to by ticking the box using a computer mouse;
d. That the Equipment is used in accordance to the received instructions and user schedule provided by PCCC;
e. That the Lessee has watched an instructional video provided by PCCC or Penguin Cold Caps Canada website;
f. That the Lessee agrees that lost, stolen, or otherwise unreturned equipment will result in a charge of $1499 or $499 for each Penguin Cold Cap;
g. That the Lessee agrees that if Penguin Cold Caps are returned in an unusable or abused condition aside from normal wear and tear charges of $1499 for the set or $499 per cap will result;
h. That the Lessee agrees that the following charges will occur for unreturned rental items: $45 for the gloves for handling dry ice, $75 for the infrared thermometer. $35 for each missing black or gold strap. $225 for each missing gel headband;
i. That (if applicable), when dry ice is used, stored and transported, the dry ice suppliers' advice and safety instructions must be adhered to;
j. That (if applicable), when dry ice is transported in a vehicle, the proper ventilation must be adhered to in accordance with the dry ice suppliers' advice and safety instructions;
k. That the Lessee agrees to release and discharge PCCC from any and all responsibility or liability from such injury or damage arising out of the transportation, storage and use of dry ice;
l. That the Lessee and agrees that PCCC is not responsible or liable, at any time, for any costs incurred in the purchase, hire or rental or service of any additional equipment or products, not purchased, hired/rented directly from PCCC e.g. dry ice, coolers etc;
m. That the Lessee agrees that PCCC, is not responsible or liable, at any time, for any family, friend, associate or representative's cost of time or loss of earnings;
n. That is the Lessee wants to return the caps before the one month minimum rental period it will be reviewed on a case by case basis with the following enforced:
1. A $75 restocking fee applied to any shipped equipment
2. Return shipping will be paid by the Lessee
3. Refund will be based on pro-rated per day charge at PCCC discretion
o. The Lessee agrees to carefully pack the equipment and return it to Penguin Cold Caps Canada, 190 Minet’s Point Rd Unit 5, Suite 422, Barrie ON L4N 8J8, using the supplied return shipping label. The Lessee does not pay for return shipping when the rental extends beyond the one month minimum rental period;
17.LAW
The law governing this Agreement shall be that of Canada.

TERMES ET CONDITIONS
Aux fins du présent contrat de location [le « Contrat »], « PCCC » désigne Penguin Cold Caps Canada, ses propriétaires, dirigeants, administrateurs, actionnaires, employés, mandataires, représentants, licenciés et ajusteurs de bonnets. « Locataire » désigne l’utilisateur de l’Équipement ainsi que ses mandataires, représentants et, le cas échéant, ses employés. Si le payeur diffère du Locataire, il est lié par le présent Contrat et assume les obligations de paiement du Locataire. La location de l’équipement [l’« Équipement » ou « Équipement loué »] décrit dans le bon de commande ou dans le présent Contrat est régie comme suit :
1. INDEMNISATION, DÉFENSE ET GARANTIE CONTRE LES PERTES
Le Locataire prend toutes précautions nécessaires concernant l’Équipement et protège personnes et biens contre blessures ou dommages. Il s’engage à tenir PCCC quitte et indemne de toute responsabilité, réclamation, jugement, frais d’avocat et autres coûts, notamment blessures ou décès de personnes et dommages matériels, liés à l’utilisation, l’entretien, l’instruction, l’exploitation, la possession, la propriété ou la location de l’Équipement, sauf en cas de négligence exclusive ou de faute intentionnelle de PCCC.
2. ACCEPTATION DES RISQUES ET DÉCHARGE DE RESPONSABILITÉ
Avant d’utiliser les bonnets réfrigérants Penguin Cold Caps, le Locataire consulte un médecin qualifié et son Consultant afin de déterminer la compatibilité de l’Équipement avec son traitement. Même avec l’accord médical, la décision finale d’utilisation revient au Consultant. Pour la maladie de Raynaud, l’Oxaliplatine ou une lésion cervicale, la consultation est impérative.
L’utilisation des bonnets est un choix personnel et PCCC ne garantit aucun résultat, notamment la prévention de la perte de cheveux. PCCC n’est responsable d’aucun effet indésirable ou résultat découlant de l’Équipement, y compris les réactions à la glace sèche ou un mauvais entreposage. Le Locataire assume pleinement les conséquences de l’utilisation.
Il libère PCCC de toute responsabilité pour blessures, dommages ou effets secondaires résultant de l’utilisation ou de l’exploitation de l’Équipement, y compris glace sèche ou congélateur. Il renonce à toute réclamation correspondante, accepte le risque de retard d’expédition et renonce à toute réclamation liée à l’achat ou la location d’équipement non fourni par PCCC.
3. RÉCEPTION ET INSPECTION DE L’ÉQUIPEMENT
Le Locataire loue l’Équipement « tel quel ». Il l’inspecte avant usage et le juge adapté à ses besoins. Il contacte PCCC dans les vingt‑quatre heures suivant la livraison pour signaler toute pièce manquante ou défectueuse et confirme que l’Équipement est en bon état et qu’il en comprend l’utilisation.
4. PROPRIÉTÉ DE L’ÉQUIPEMENT
La location commence à la date où l’Équipement quitte le dépôt de PCCC, est remis au Locataire ou, en cas d’envoi, à la date indiquée par le suivi d’expédition [« Date de début »]. Elle prend fin à la réception au dépôt, à la remise à un représentant ou, en cas de retour expédié, à la date de suivi [« Date de fin »]. Chaque Date de début et Date de fin compte pour une journée complète. La propriété demeure à PCCC. En cas de non‑restitution ou de saisie, PCCC peut reprendre l’Équipement sans formalité, le Locataire indemnisant PCCC de toute réclamation.
5. DURÉE, TARIF ET PAIEMENT
La durée minimale est d’un mois. Le loyer est payable d’avance pour chaque mois. Après le premier mois, les jours non utilisés sont remboursés au prorata. Le Locataire paie les frais d’envoi vers son adresse ; PCCC fournit l’étiquette de retour. PCCC n’est pas responsable des frais de livraison ratée. PCCC peut résilier la location pour violation du Contrat, reprendre l’Équipement sans préavis et recouvrer tous frais, incluant honoraires d’avocat. Le Locataire accepte d’être contacté par téléphone.
6. CONDUITE ET COMPORTEMENT
Le Locataire communique de façon professionnelle et respectueuse avec PCCC. Tout langage offensant, harcèlement ou menace entraîne la résiliation immédiate du Contrat ; les loyers et frais de retour demeurent dus.
7. USURE NORMALE
Le Locataire répond de tout dommage hors usure normale. L’usure normale est la détérioration ordinaire liée à un usage raisonnable. Des frais de nettoyage sont appliqués si l’Équipement est retourné sale.
8. CONFORMITÉ AUX LOIS ET UTILISATION
L’Équipement ne doit pas être utilisé à des fins illégales ou dangereuses. En cas d’emploi de glace sèche, les consignes du fournisseur, incluant le port de gants, doivent être respectées. PCCC n’a aucune obligation d’inspection pendant la location.
9. RETOUR DE L’ÉQUIPEMENT
Le Locataire retourne l’Équipement dans l’état initial, usure normale exceptée, et reste responsable de pertes ou dommages jusqu’au retour. Les frais de location continuent tant que l’Équipement n’est pas restitué.
10. EXCLUSION DE GARANTIES
PCCC n’accorde aucune garantie expresse ou implicite, y compris de qualité marchande ou d’adaptation à un usage particulier. PCCC n’est pas responsable des pertes ou dommages liés à l’Équipement, son utilisation ou ses défaillances. Le seul recours du Locataire est la cessation des loyers à compter de la notification immédiate du défaut.
11. SOUS‑LOCATION ET EMPLACEMENT
Le Locataire ne vend, ne sous‑loue, ne prête ni n’assigne l’Équipement. En cas de violation, PCCC peut reprendre l’Équipement aux frais du Locataire ou recourir à une agence de recouvrement.
12. DÉFAUT
Tout manquement permet à PCCC de résilier le Contrat, reprendre l’Équipement, exiger le paiement immédiat, engager des procédures judiciaires, recourir à une agence de recouvrement et exercer tout autre droit légal. PCCC peut notifier le Locataire par courriel ou lettre et exiger paiement dans quatorze jours avant action.
13. REPRISE DE POSSESSION
Le Locataire autorise PCCC à reprendre l’Équipement sans préavis ni procédure.
14. FRAIS JURIDIQUES
La partie victorieuse d’un litige relatif au Contrat a droit au remboursement de ses frais raisonnables d’avocat et de justice.
15. NON‑RENONCIATION ET DIVISIBILITÉ
Le défaut de PCCC d’exiger l’exécution stricte d’une clause n’est pas renonciation à ses droits. Si une clause est invalide, les autres restent en vigueur.
16. DIVERS
Le Locataire reconnaît et accepte :
a. que l’Équipement comprend les bonnets réfrigérants, bandeaux en gel, sangles Velcro, deux thermomètres et glacière à roulettes le cas échéant,
b. que bonnets et bandeaux sont entreposés au congélateur ou dans une pièce fraîche, face blanche contre face blanche et bleue contre bleue, ou séchés puis rangés dans les sacs fournis,
c. que la commande n’est traitée qu’après acceptation en ligne des présentes conditions par case cochée,
d. que l’Équipement est utilisé selon les instructions et le calendrier fournis,
e. qu’il a visionné la vidéo d’instruction PCCC,
f. que la perte ou non‑restitution d’un bonnet entraîne des frais de 1 499 $ pour l’ensemble ou 499 $ par bonnet,
g. que des frais identiques s’appliquent aux bonnets retournés inutilisables ou abusés hors usure normale,
h. que les articles non retournés entraînent les frais suivants : 45 $ pour les gants, 75 $ pour le thermomètre infrarouge, 35 $ pour chaque sangle noire ou dorée, 225 $ pour chaque bandeau en gel,
i. que les consignes de sécurité du fournisseur de glace sèche sont respectées,
j. que le véhicule transportant de la glace sèche est correctement ventilé,
k. qu’il libère PCCC de toute responsabilité liée au transport, à l’entreposage ou à l’utilisation de glace sèche,
l. que PCCC n’est pas responsable des coûts d’équipement supplémentaire non loué auprès d’elle,
m. que PCCC n’est pas responsable des pertes de revenus ou de temps de la famille ou des représentants du Locataire,
n. que le retour avant la période minimale d’un mois est examiné au cas par cas, avec :
1. frais de réapprovisionnement de 75 $,
2. retour aux frais du Locataire,
3. remboursement proratisé à la discrétion de PCCC,
o. qu’il emballe soigneusement l’Équipement et le renvoie à Penguin Cold Caps Canada, 190 Minet’s Point Rd, Unité 5, Suite 422, Barrie ON L4N 8J8, en utilisant l’étiquette fournie, les frais de retour étant assumés par PCCC lorsque la location dépasse un mois.
17. DROIT APPLICABLE
Le présent Contrat est régi par les lois du Canada.

The Lessee/User acknowledges that before using Penguin Cold Caps, the Lessee/User of the Equipment must consult with their qualified medical doctor and Consultant to determine whether they can use the Equipment in its cooled state with their treatment or drug regimen. Even if the medical doctor approves the use of the Equipment, it is ultimately the Lessee's Consultant who will decide whether the Equipment should be used by the Lessee. If the Lessee has Raynaud's disease, is receiving the drug Oxaliplatin for their treatment, or has a spinal or neck injury, it is imperative that the Lessee communicates with their qualified medical doctor and Consultant.
The Lessee acknowledges that the use of cold caps is a personal choice and that PCCC does not guarantee any specific results, including the prevention of hair loss or any other desired outcome. PCCC shall not be liable for any adverse effects, side effects, or outcomes arising from the use of the Equipment, including reactions to dry ice or improper storage and handling of the Equipment. The Lessee assumes full responsibility for the results and effects of using the Equipment.
The Lessee agrees to release and discharge PCCC from any and all responsibility or liability from such injury or damage or side effects arising out of the use or operation of the Equipment, including the use of dry ice or a freezer with the operation of the Equipment. The Lessee agrees to waive, release, and discharge any and all claims for injury, side effects, or damage against PCCC, which the Lessee otherwise may be entitled to assert. The Lessee is fully aware and acknowledges that PCCC will use its best endeavors to ship the Equipment rented in a timely manner and fully accepts there is a risk that the Equipment might not arrive at the time requested and hereby elects to voluntarily enter into this rental agreement and assume this risk and discharge PCCC from any and all responsibility or liability. The Lessee agrees to waive, release, and discharge any and all claims for any costs incurred in the purchase, hire, or rental of any equipment, products, or services not purchased, hired, or rented directly from PCCC. The Lessee further agrees to waive, release, and discharge any and all claims or damage against PCCC which the Lessee otherwise may be entitled to assert.
3.RECEIPT/INSPECTION OF EQUIPMENT
The Lessee hires the Equipment on an 'as is' basis. The Lessee acknowledges that he/she has, or will, personally inspect the Equipment prior to its use and finds it suitable for the Lessee's needs. The Lessee is to contact PCCC if any of the Equipment is faulty or missing within 24 hours of the Equipment being delivered. The Lessee acknowledges receipt of all items listed in this Rental Agreement and that the Equipment is in good working order and repair, and that the Lessee understands (without further instructions) its proper operation and use.
4.TITLE OF EQUIPMENT
The Lessee's right to hire the Equipment begins upon the date the Equipment leaves PCCC's depot(s) (the 'Outward Hire Date') or the date the Equipment is handed/given to the Lessee or the Lessee's representative by a Company representative, employee, agent, or licensee (the 'Outward Hire Date'), or if the Equipment is picked up/collected/delivered by a shipping company (e.g., UPS), the tracking date will be used as the date the Equipment leaves the depot (the 'Outward Hire Date'). The Lessee's right to hire the Equipment terminates upon the date the Equipment is received back at PCCC's depot(s) (the 'Return Hire Date') or the date the Equipment is handed/given back to a Company representative, employee, licensee, or agent (the 'Return Hire Date'), or if the Equipment is returned by a shipping company (e.g., UPS), the tracking date will be used as the date the Equipment is returned to the depot, agent, licensee, or employee (the 'Return Hire Date'). The 'Outward Hire Date' and the 'Return Hire Date' will be considered a full 24-hour day regardless of the time of day the Equipment is hired or returned, and the days are inclusive when calculating the rental hire period. Title to the Equipment is and shall remain with PCCC. If the Equipment is not returned and/or levied upon for any reason whatsoever, PCCC may retake the Equipment without further notice or legal process. The Lessee hereby agrees to indemnify, defend, and hold PCCC harmless from any and all claims and costs arising from such retaking.
5.RENTAL PERIOD/RATE/PAYMENT
The rate of hire for the Rental Period is for a minimum of one month. If the Equipment is returned prior to the end of the minimum rental period, the rental due shall be for the entire minimum rental period. Rental rates for the Equipment are based upon a month at a time and are paid a month in advance. After the first month’s rental, all unused days are pro-rated. If the Equipment is returned before the end of the second (or subsequent) month, the remaining days' hire will be refunded. The rental hire charges begin immediately upon the Equipment leaving PCCC's depot, or the Equipment being handed/given to the Lessee or the Lessee's representative by a Company representative, employee, or agent. Rental charges end upon the return of the Equipment in acceptable condition to PCCC, or the Equipment being handed/given back to a Company representative, employee, or agent, or licensee. No allowance will be made for Saturdays, Sundays, holidays, or time in transit, nor for any period of time the Equipment is not in actual use while in the Lessee's possession. Hire/Rental of the Equipment begins upon the date the Equipment leaves the PCCC's depot (the 'Outward Hire Date') or the date the Equipment is handed/given to the Lessee or the Lessee's representative by a Company representative, employee, or agent (the 'Outward Hire Date'), or if the Equipment is picked up/collected/delivered by a shipping company (e.g., UPS). The tracking date will be used as the date the Equipment leaves the depot (the 'Outward Hire Date'). Hire/Rental of the Equipment terminates upon the date the Equipment is received back at the PCCC's depot(s) (the 'Return Hire Date') or the date the Equipment is handed/given back to a Company representative, employee, licensee, or agent (the 'Return Hire Date'), or if the Equipment is returned by a shipping company (e.g., UPS). The tracking date will be used as the date the Equipment is returned to the depot(s) (the 'Return Hire Date').
The Lessee acknowledges that he/she is responsible for paying the shipping of the Equipment from the depot to the Lessee's address. PCCC will supply the return shipping for the Equipment from the Lessee's dwelling to PCCC's depot or representative. The Lessee agrees that PCCC is not liable for any failed shipping charges, e.g., if delivery is attempted and the Lessee/Lessee's representative is not there/able to accept delivery of the rental Equipment and the Equipment is returned to us. The 'Outward Hire Date' and the 'Return Hire Date' will be considered a full 24-hour day regardless of the time of day the Equipment is hired or returned, and the days are inclusive when calculating the rental hire period.
The 'Outward Hire Date' as described above, is used as the first invoice date and the 'Return Hire Date' is used as the end of hire and closing invoice date. PCCC may terminate the hire of the Equipment at any time and retake the Equipment without further notice in case of violation by the Lessee of any terms or conditions of this Rental Agreement. The Lessee agrees to pay any collection costs and attorney fees incurred in the collection of this account or any dispute arising out of this Rental Agreement. The Lessee agrees that a company representative, agent, or licensee may contact them by telephone.
6.CONDUCT AND BEHAVIOR
The Lessee agrees to engage in professional and respectful communication with PCCC’s employees, agents, representatives, and other related parties. Inappropriate behavior, including but not limited to the use of offensive language, harassment, threats, or any other form of misconduct, will not be tolerated. PCCC reserves the right to terminate this Rental Agreement and any associated services immediately if the Lessee or their representatives engage in such behavior. In the event of such termination, the Lessee will remain responsible for all outstanding rental fees and any costs associated with the return of the Equipment.
7.ORDINARY WEAR AND TEAR
The Lessee shall be responsible for all damage not caused by ordinary wear and tear. 'Ordinary wear and tear' shall mean only the normal deterioration of the Equipment caused by ordinary, reasonable, and proper use of the Equipment. Damage that is not 'ordinary wear and tear' includes, but is not limited to, damage due improper use, misuse, abuse, lack of cleaning, and dirtying of Equipment by any other material. A cleaning charge will be made on the Equipment if returned unclean.
8.COMPLIANCE WITH LAWS/USE OF EQUIPMENT
The Lessee agrees not to use or allow anyone to use the Equipment for any illegal purpose or in any illegal manner or in an unsafe manner. The Lessee agrees if dry ice is used with the Equipment that the safety instructions and any other instructions the dry ice supplier advises or issues to the Lessee are adhered to, including safety equipment and gloves. The Lessee acknowledges that PCCC has no responsibility to inspect the Equipment while it is in Lessee's possession or rental period.
9.RETURN OF EQUIPMENT
The Lessee agrees to return to PCCC the Equipment in as good condition as when received, ordinary wear and tear excepted by the Rental Agreement. The Lessee shall be liable for all damages to or loss of the Equipment and liability incurred prior to the Equipment's return to PCCC. Charges will be applied if all the Equipment rented, including any damaged Equipment (if applicable) is not returned to PCCC. For clarification, the rental/hire charges/fees will continue until the Equipment is returned to PCCC and the Lessee will be liable for these charges/fees.
10.DISCLAIMER OF WARRANTIES
PCCC makes no warranty of merchantability or fitness for any particular use or purpose, either express or implied. There is no warranty or representation that the Equipment is fit for Lessee's particular intended use, or that it is free of latent defects. PCCC shall not be responsible to the Lessee or any third party for any loss, damage, or injury resulting from, or in any way attributable to the operation of, use of, or any failure of the Equipment. PCCC shall not be responsible for any defect or failure unknown to PCCC. The Lessee's sole remedy for any failure of or defect in the Equipment shall be the termination of the rental charges at the time of failure provided that the Lessee notifies PCCC immediately of such failure.
11.SUBLETTING/LOCATION OF EQUIPMENT
The Lessee agrees not to sell, sublet, loan, or assign the Equipment. If the Lessee violates this agreement, PCCC reserves the right to repossess the Equipment at the Lessee's expense and/or enlist a collection agency to recover any lost revenue resulting from the violation.
12.DEFAULT
Should the Lessee in any way fail to observe or comply with any provision of this Rental/Hire Agreement, PCCC may at its sole option, terminate this Rental/Hire Agreement, retake the Equipment, declare any charges due and payable, initiate legal process to recover monies owed, enlist a collection agency if necessary, and/or pursue any other legal rights and remedies available to PCCC. Exercise of any remedy available to PCCC shall not constitute an election of remedies or a waiver of any additional remedies to which PCCC may be entitled. PCCC has the right to give notice by email or letter, whereby PCCC will give fourteen days for the monies owed to be paid. Failure to pay outstanding monies after this period will result in PCCC initiating legal processes to recover monies owed, enlist a collection agency if necessary, and/or pursue any other legal rights and remedies available to PCCC.
13.RETAKING OF EQUIPMENT
If for any reason it becomes necessary for PCCC to retake the Equipment, the Lessee authorizes PCCC to retake the Equipment without further notice or further legal process.
14.LEGAL FEES
In the event an attorney is retained to enforce any provision of this Rental/Hire Agreement, the prevailing party in the dispute shall be entitled to recover reasonable attorney's fees and court costs in such action, or proceeding, in an amount to be determined by the court.
15.NOTICE OF NON-WAIVER/SEVERABILITY
Any failure of PCCC to insist upon strict performance by the Lessee as regards any provision of this Rental/Hire Agreement shall not be interpreted as a waiver of PCCC's right to demand strict compliance with all other provisions of this Rental/Hire Agreement against the Lessee or any other person. The provisions of this Rental/Hire Agreement shall be severable so that in the event any provision of this agreement is invalid or not enforceable, it shall not affect any other provision or clause.
16.MISCELLANEOUS
The Lessee is fully aware and acknowledges:
a. That the Equipment means all Equipment rented inclusive of Cold Caps, Gel Headbands, Velcro Straps, Thermometers (2), Wheeled Cooler (if applicable);
b. That the Penguin Cold Caps and the Gel Headbands of the Equipment are stored in a freezer or in a cool room, white side to white side and blue side to blue side, and/or dried and then placed inside the provided bags;
c. That the order form could not be processed without the order form being completed and the Terms & Conditions, Disclaimer & Policies being read, understood and agreed to by ticking the box on the web site page; the Lessee also acknowledges and agrees that payment cannot be processed to begin the rental if the Terms & Conditions box on the website page is not agreed to by ticking the box using a computer mouse;
d. That the Equipment is used in accordance to the received instructions and user schedule provided by PCCC;
e. That the Lessee has watched an instructional video provided by PCCC or Penguin Cold Caps Canada website;
f. That the Lessee agrees that lost, stolen, or otherwise unreturned equipment will result in a charge of $1499 or $499 for each Penguin Cold Cap;
g. That the Lessee agrees that if Penguin Cold Caps are returned in an unusable or abused condition aside from normal wear and tear charges of $1499 for the set or $499 per cap will result;
h. That the Lessee agrees that the following charges will occur for unreturned rental items: $45 for the gloves for handling dry ice, $75 for the infrared thermometer. $35 for each missing black or gold strap. $225 for each missing gel headband;
i. That (if applicable), when dry ice is used, stored and transported, the dry ice suppliers' advice and safety instructions must be adhered to;
j. That (if applicable), when dry ice is transported in a vehicle, the proper ventilation must be adhered to in accordance with the dry ice suppliers' advice and safety instructions;
k. That the Lessee agrees to release and discharge PCCC from any and all responsibility or liability from such injury or damage arising out of the transportation, storage and use of dry ice;
l. That the Lessee and agrees that PCCC is not responsible or liable, at any time, for any costs incurred in the purchase, hire or rental or service of any additional equipment or products, not purchased, hired/rented directly from PCCC e.g. dry ice, coolers etc;
m. That the Lessee agrees that PCCC, is not responsible or liable, at any time, for any family, friend, associate or representative's cost of time or loss of earnings;
n. That is the Lessee wants to return the caps before the one month minimum rental period it will be reviewed on a case by case basis with the following enforced:
1. A $75 restocking fee applied to any shipped equipment
2. Return shipping will be paid by the Lessee
3. Refund will be based on pro-rated per day charge at PCCC discretion
o. The Lessee agrees to carefully pack the equipment and return it to Penguin Cold Caps Canada, 190 Minet’s Point Rd Unit 5, Suite 422, Barrie ON L4N 8J8, using the supplied return shipping label. The Lessee does not pay for return shipping when the rental extends beyond the one month minimum rental period;
17.LAW
The law governing this Agreement shall be that of Canada.

TERMES ET CONDITIONS
Aux fins du présent contrat de location [le « Contrat »], « PCCC » désigne Penguin Cold Caps Canada, ses propriétaires, dirigeants, administrateurs, actionnaires, employés, mandataires, représentants, licenciés et ajusteurs de bonnets. « Locataire » désigne l’utilisateur de l’Équipement ainsi que ses mandataires, représentants et, le cas échéant, ses employés. Si le payeur diffère du Locataire, il est lié par le présent Contrat et assume les obligations de paiement du Locataire. La location de l’équipement [l’« Équipement » ou « Équipement loué »] décrit dans le bon de commande ou dans le présent Contrat est régie comme suit :
1. INDEMNISATION, DÉFENSE ET GARANTIE CONTRE LES PERTES
Le Locataire prend toutes précautions nécessaires concernant l’Équipement et protège personnes et biens contre blessures ou dommages. Il s’engage à tenir PCCC quitte et indemne de toute responsabilité, réclamation, jugement, frais d’avocat et autres coûts, notamment blessures ou décès de personnes et dommages matériels, liés à l’utilisation, l’entretien, l’instruction, l’exploitation, la possession, la propriété ou la location de l’Équipement, sauf en cas de négligence exclusive ou de faute intentionnelle de PCCC.
2. ACCEPTATION DES RISQUES ET DÉCHARGE DE RESPONSABILITÉ
Avant d’utiliser les bonnets réfrigérants Penguin Cold Caps, le Locataire consulte un médecin qualifié et son Consultant afin de déterminer la compatibilité de l’Équipement avec son traitement. Même avec l’accord médical, la décision finale d’utilisation revient au Consultant. Pour la maladie de Raynaud, l’Oxaliplatine ou une lésion cervicale, la consultation est impérative.
L’utilisation des bonnets est un choix personnel et PCCC ne garantit aucun résultat, notamment la prévention de la perte de cheveux. PCCC n’est responsable d’aucun effet indésirable ou résultat découlant de l’Équipement, y compris les réactions à la glace sèche ou un mauvais entreposage. Le Locataire assume pleinement les conséquences de l’utilisation.
Il libère PCCC de toute responsabilité pour blessures, dommages ou effets secondaires résultant de l’utilisation ou de l’exploitation de l’Équipement, y compris glace sèche ou congélateur. Il renonce à toute réclamation correspondante, accepte le risque de retard d’expédition et renonce à toute réclamation liée à l’achat ou la location d’équipement non fourni par PCCC.
3. RÉCEPTION ET INSPECTION DE L’ÉQUIPEMENT
Le Locataire loue l’Équipement « tel quel ». Il l’inspecte avant usage et le juge adapté à ses besoins. Il contacte PCCC dans les vingt‑quatre heures suivant la livraison pour signaler toute pièce manquante ou défectueuse et confirme que l’Équipement est en bon état et qu’il en comprend l’utilisation.
4. PROPRIÉTÉ DE L’ÉQUIPEMENT
La location commence à la date où l’Équipement quitte le dépôt de PCCC, est remis au Locataire ou, en cas d’envoi, à la date indiquée par le suivi d’expédition [« Date de début »]. Elle prend fin à la réception au dépôt, à la remise à un représentant ou, en cas de retour expédié, à la date de suivi [« Date de fin »]. Chaque Date de début et Date de fin compte pour une journée complète. La propriété demeure à PCCC. En cas de non‑restitution ou de saisie, PCCC peut reprendre l’Équipement sans formalité, le Locataire indemnisant PCCC de toute réclamation.
5. DURÉE, TARIF ET PAIEMENT
La durée minimale est d’un mois. Le loyer est payable d’avance pour chaque mois. Après le premier mois, les jours non utilisés sont remboursés au prorata. Le Locataire paie les frais d’envoi vers son adresse ; PCCC fournit l’étiquette de retour. PCCC n’est pas responsable des frais de livraison ratée. PCCC peut résilier la location pour violation du Contrat, reprendre l’Équipement sans préavis et recouvrer tous frais, incluant honoraires d’avocat. Le Locataire accepte d’être contacté par téléphone.
6. CONDUITE ET COMPORTEMENT
Le Locataire communique de façon professionnelle et respectueuse avec PCCC. Tout langage offensant, harcèlement ou menace entraîne la résiliation immédiate du Contrat ; les loyers et frais de retour demeurent dus.
7. USURE NORMALE
Le Locataire répond de tout dommage hors usure normale. L’usure normale est la détérioration ordinaire liée à un usage raisonnable. Des frais de nettoyage sont appliqués si l’Équipement est retourné sale.
8. CONFORMITÉ AUX LOIS ET UTILISATION
L’Équipement ne doit pas être utilisé à des fins illégales ou dangereuses. En cas d’emploi de glace sèche, les consignes du fournisseur, incluant le port de gants, doivent être respectées. PCCC n’a aucune obligation d’inspection pendant la location.
9. RETOUR DE L’ÉQUIPEMENT
Le Locataire retourne l’Équipement dans l’état initial, usure normale exceptée, et reste responsable de pertes ou dommages jusqu’au retour. Les frais de location continuent tant que l’Équipement n’est pas restitué.
10. EXCLUSION DE GARANTIES
PCCC n’accorde aucune garantie expresse ou implicite, y compris de qualité marchande ou d’adaptation à un usage particulier. PCCC n’est pas responsable des pertes ou dommages liés à l’Équipement, son utilisation ou ses défaillances. Le seul recours du Locataire est la cessation des loyers à compter de la notification immédiate du défaut.
11. SOUS‑LOCATION ET EMPLACEMENT
Le Locataire ne vend, ne sous‑loue, ne prête ni n’assigne l’Équipement. En cas de violation, PCCC peut reprendre l’Équipement aux frais du Locataire ou recourir à une agence de recouvrement.
12. DÉFAUT
Tout manquement permet à PCCC de résilier le Contrat, reprendre l’Équipement, exiger le paiement immédiat, engager des procédures judiciaires, recourir à une agence de recouvrement et exercer tout autre droit légal. PCCC peut notifier le Locataire par courriel ou lettre et exiger paiement dans quatorze jours avant action.
13. REPRISE DE POSSESSION
Le Locataire autorise PCCC à reprendre l’Équipement sans préavis ni procédure.
14. FRAIS JURIDIQUES
La partie victorieuse d’un litige relatif au Contrat a droit au remboursement de ses frais raisonnables d’avocat et de justice.
15. NON‑RENONCIATION ET DIVISIBILITÉ
Le défaut de PCCC d’exiger l’exécution stricte d’une clause n’est pas renonciation à ses droits. Si une clause est invalide, les autres restent en vigueur.
16. DIVERS
Le Locataire reconnaît et accepte :
a. que l’Équipement comprend les bonnets réfrigérants, bandeaux en gel, sangles Velcro, deux thermomètres et glacière à roulettes le cas échéant,
b. que bonnets et bandeaux sont entreposés au congélateur ou dans une pièce fraîche, face blanche contre face blanche et bleue contre bleue, ou séchés puis rangés dans les sacs fournis,
c. que la commande n’est traitée qu’après acceptation en ligne des présentes conditions par case cochée,
d. que l’Équipement est utilisé selon les instructions et le calendrier fournis,
e. qu’il a visionné la vidéo d’instruction PCCC,
f. que la perte ou non‑restitution d’un bonnet entraîne des frais de 1 499 $ pour l’ensemble ou 499 $ par bonnet,
g. que des frais identiques s’appliquent aux bonnets retournés inutilisables ou abusés hors usure normale,
h. que les articles non retournés entraînent les frais suivants : 45 $ pour les gants, 75 $ pour le thermomètre infrarouge, 35 $ pour chaque sangle noire ou dorée, 225 $ pour chaque bandeau en gel,
i. que les consignes de sécurité du fournisseur de glace sèche sont respectées,
j. que le véhicule transportant de la glace sèche est correctement ventilé,
k. qu’il libère PCCC de toute responsabilité liée au transport, à l’entreposage ou à l’utilisation de glace sèche,
l. que PCCC n’est pas responsable des coûts d’équipement supplémentaire non loué auprès d’elle,
m. que PCCC n’est pas responsable des pertes de revenus ou de temps de la famille ou des représentants du Locataire,
n. que le retour avant la période minimale d’un mois est examiné au cas par cas, avec :
1. frais de réapprovisionnement de 75 $,
2. retour aux frais du Locataire,
3. remboursement proratisé à la discrétion de PCCC,
o. qu’il emballe soigneusement l’Équipement et le renvoie à Penguin Cold Caps Canada, 190 Minet’s Point Rd, Unité 5, Suite 422, Barrie ON L4N 8J8, en utilisant l’étiquette fournie, les frais de retour étant assumés par PCCC lorsque la location dépasse un mois.
17. DROIT APPLICABLE
Le présent Contrat est régi par les lois du Canada.
